SystemShift Leadership Development Platform

1. Introduction

Welcome to SystemShift. These Terms of Service (“Terms”) set out the rules for using the SystemShift Leadership Development Platform — including all its learning tools, content, integrations, and features (together, the “Platform”). The Platform is operated by SystemShift Ltd, a company registered in England and Wales (“SystemShift”, “we”, “us”, or “our”).

By creating an account or using the Platform in any way, you're agreeing to these Terms. If you're signing up on behalf of your employer or another organisation, you're confirming that you have the authority to accept these Terms on their behalf.

If you don't agree to these Terms, please don't use the Platform.

2. Key Definitions

To keep things clear throughout this document, here's what we mean by the following terms:

  • Platform: The SystemShift Leadership Development Platform at systemshift.com, including any associated apps.
  • User: Anyone who accesses or uses the Platform — whether a Learner, L&D Manager, or Administrator.
  • Learner: Someone registered on the Platform to complete learning content.
  • L&D Manager: A person designated by an organisation to oversee and track the learning progress of Learners.
  • Administrator: Someone with account management access, acting on behalf of an organisation.
  • Organisation: The company, institution, or entity that has subscribed to the Platform and provides access to its members.
  • Content: All courses, assessments, videos, materials, and resources available through the Platform.
  • User Content: Anything you upload, post, or submit to the Platform.
  • Personal Data: Has the meaning given under the UK GDPR and the Data Protection Act 2018.

3. Who Can Use the Platform

You need to be at least 13 years old to use the Platform. If you're between 13 and 17, you'll need a parent or guardian's consent in any country where that's legally required.

When you register, please make sure the information you give us is accurate and up to date. You're responsible for keeping your login credentials private and for everything that happens under your account. If you ever think someone else has accessed your account without your permission, let us know straight away at help@systemshift.com.

We reserve the right to suspend or close accounts if we find that registration details are inaccurate or misleading.

4. What You Can (and Can't) Do

As long as you stick to these Terms, SystemShift gives you a limited, personal, non-transferable right to use the Platform for your professional learning and development — or, if you're an L&D Manager or Administrator, for managing your organisation's learning programme.

This doesn't give you the right to:

  • Sell, sublicense, or commercially exploit the Platform or its Content
  • Copy, reproduce, or distribute any part of the Platform or Content
  • Reverse engineer or try to extract the source code of the Platform
  • Use the Platform to build a competing product or service

We may update or change features of the Platform from time to time. Where a change is significant, we'll try to give you reasonable advance notice.

5. How We Expect You to Behave

We want the Platform to be a safe, productive space for everyone. Please don't:

  • Use the Platform for anything unlawful or that violates anyone's rights
  • Post or share content that's offensive, hateful, defamatory, or harmful
  • Infringe on anyone's intellectual property or privacy
  • Try to hack into the Platform, its servers, or any connected systems
  • Introduce malware, viruses, or any other malicious code
  • Do anything that disrupts or overloads the Platform for other users
  • Pretend to be someone else or misrepresent who you work for
  • Scrape or harvest data from the Platform without our written permission
  • Send spam or unsolicited messages through the Platform

If we believe you've violated any of these, we may suspend or terminate your access. We'll investigate fairly before taking action wherever possible.

6. Responsibilities by Role

Learners

We ask Learners to engage honestly with the Platform — completing activities genuinely and not misrepresenting their progress or assessment results. Please be aware that your learning progress, scores, and completion records are visible to your designated L&D Manager within your organisation.

L&D Managers

L&D Managers get access to their Learners' full learning data so they can support their team's development. This access should only ever be used for legitimate L&D purposes — not in a way that's discriminatory, punitive, or contrary to any law.

Administrators

Administrators can see basic account details — names, email addresses, and organisational affiliation — to manage accounts and provide support. Administrators shouldn't try to access learner progress data beyond what's assigned to their role.

Organisations

Organisations subscribing to the Platform are responsible for making sure their users follow these Terms. Where your organisation is acting as a data controller for its participants' personal data, it must have a lawful basis for doing so under UK GDPR and EU GDPR, and must sign a Data Processing Agreement with SystemShift if we ask for one.

7. Intellectual Property

Everything on the Platform — courses, assessments, videos, graphics, software, the SystemShift name and logo — belongs to SystemShift or the people who licensed it to us. It's protected by copyright and other intellectual property laws.

You're not allowed to reproduce, distribute, or create anything derived from our Content without our written permission.

Anything you upload to the Platform remains yours. By uploading it, you give us a non-exclusive, worldwide, royalty-free licence to store and use it for the sole purpose of running and improving the Platform. You're responsible for making sure you have the right to share whatever you upload, and that it doesn't infringe on anyone else's rights.

8. Google Sign-In and Calendar

You can sign into the Platform using your Google account. If you do, you're authorising SystemShift to access your basic Google profile — your name, email address, and profile picture — just for authentication purposes.

You can also connect Google Calendar if you want to. With your permission, this lets us: add learning events like class schedules and deadlines to your calendar; read your existing events to avoid scheduling clashes; and send you calendar reminders for upcoming learning activities. We only use Calendar access for these specific purposes.

When you use Google Sign-In or Google Calendar, you're also agreeing to Google's own Terms of Service and Privacy Policy.

We handle all Google data in line with Google's API Services User Data Policy, including the Limited Use requirements. Your Google data is never used for advertising or profiling.

You can disconnect SystemShift from your Google account at any time by visiting myaccount.google.com/permissions and removing SystemShift from the list. This will turn off Google Sign-In and Calendar features, but you can still use the Platform through other login methods if available.

9. Your Privacy

We take privacy seriously. How we collect, use, store, and protect your personal data is explained in detail in our Privacy Policy. The Privacy Policy forms part of these Terms, so please read it too.

In short: we process your data under the UK GDPR and Data Protection Act 2018. Where we process data on behalf of your organisation, we act as a data processor following their instructions. The organisation is responsible for making sure processing is lawful.

If you're in the US and your organisation is a US educational institution, some of your learner records may be covered by FERPA. See the Privacy Policy for more on that.

If you ever have a concern about how we've handled your data, you have the right to raise a complaint with the UK Information Commissioner's Office (ICO) at ico.org.uk.

10. Subscriptions and Payments

Access to the Platform is sold on a subscription basis to organisations. The fees, billing cycle, and payment terms are agreed when your organisation signs up.

All prices are exclusive of VAT and any other applicable taxes, which will be added at the prevailing rate. Payments are non-refundable unless the law requires otherwise, or we've agreed otherwise in writing.

If your organisation needs to cancel, you can do so according to the cancellation terms agreed at signup. When a subscription ends, we'll revoke user access and handle data deletion as described in the Privacy Policy.

If payment isn't received by the due date, we'll send a written reminder. If the payment remains outstanding after 7 days from that reminder, we may suspend access to the Platform until the account is brought up to date.

11. External Links and Services

The Platform may link out to third-party websites or services. Those links are there for your convenience — they don't mean we endorse those sites or are responsible for them. Once you leave our Platform, their own terms and privacy policies apply. We're not liable for anything that happens as a result of using third-party services.

12. Limitations on Liability

We work hard to keep the Platform running well, but we can't promise it will always be available, error-free, or completely secure. The Platform is provided “as is” and “as available”, and we don't make any warranties beyond what's required by law.

To the extent permitted by law, SystemShift's total liability to you for any claim connected to the Platform — whether in contract, tort, or otherwise — is capped at whichever is greater: (a) the fees your organisation paid us in the 12 months before the claim arose, or (b) £100.

This cap doesn't apply to things we can't legally limit — like liability for death or personal injury caused by our negligence, or for fraud. English law governs what we can and can't exclude.

13. Your Responsibility to Us

If your actions cause us to face a claim from someone else, we'll need you to cover us. Specifically, you agree to cover SystemShift's reasonable legal costs and any resulting losses if a claim arises because you: breached these Terms; uploaded User Content that caused harm to a third party; or violated someone's rights or broke the law while using the Platform.

14. Ending Your Access

We may suspend or terminate your access if we have good reason to believe you've seriously breached these Terms, engaged in fraud or unlawful activity, or if we need to act to protect other users or the Platform itself. For serious or urgent breaches, we may act immediately. For less serious matters, we'll give you reasonable notice and an opportunity to address the issue first.

You or your organisation can end your use of the Platform by cancelling your subscription (see Section 10) or by emailing us at help@systemshift.com.

When access ends, your licence to use the Platform stops immediately. Sections that are meant to survive termination — like intellectual property, liability limits, and governing law — stay in effect.

15. Changes to These Terms

We may update these Terms from time to time. If we make a significant change, we'll give you at least 14 days' notice by email or via a notice on the Platform before the new version takes effect.

Carrying on using the Platform after that date means you've accepted the updated Terms. If you're not happy with the changes, you're free to stop using the Platform before they take effect.

16. Governing Law

These Terms are governed by the laws of England and Wales. If a dispute arises that we can't resolve between ourselves, it will be dealt with in the courts of England and Wales — unless mandatory consumer protection laws in your country give you the right to use your local courts instead.

If you're based in the EU, your rights under applicable EU consumer protection legislation are not affected by these Terms.

17. General

These Terms, together with our Privacy Policy and any other policies we reference, make up the full agreement between you and SystemShift regarding the Platform. They replace any previous understandings or agreements on the same subject.

If a court finds any part of these Terms unenforceable, the rest of the Terms still apply.

If we don't enforce a particular provision at any point, that doesn't mean we're giving up the right to enforce it later.

You can't transfer your rights or obligations under these Terms to anyone else without our written consent. We can transfer ours in connection with a merger, acquisition, or sale of assets, as long as the new party agrees to be bound by these Terms.
